To utilize VaaniNova business services:

• You must be legally capable of entering into a binding agreement under applicable law.
• If registering on behalf of a clinic, enterprise, firm, or company, you represent that you have the legal authority to bind that entity.
• You agree to provide true, accurate, and current information regarding your business identity and contact details.
• You are responsible for maintaining the confidentiality of your administrative credentials and access tokens.

You agree to use VaaniNova products strictly for legitimate and lawful business purposes. You shall not use our services to:

• Transmit unlawful, abusive, harassing, defamatory, or fraudulent communications.
• Engage in unauthorized telemarketing or commercial communications in violation of applicable TRAI regulations, customer preferences, consent requirements, National Customer Preference Register (NCPR/DND), or other applicable telecommunications laws and regulations.
• Impersonate law enforcement officials, financial institutions, or government agencies.
• Attempt to reverse engineer, decompile, or harvest the underlying proprietary software or speech models of VaaniNova.

When using VaaniMitra with call forwarding or virtual telephony services:

• You are responsible for configuring call forwarding with your telecommunications provider where required. Applicable carrier or telephony charges may apply.
• Virtual or telephony numbers made available through VaaniNova or its service providers may be provided to you on a licensed or subscription basis and may remain subject to the terms and availability of the relevant telecommunications provider.
• You are responsible for configuring your AI agent with accurate and up-to-date information regarding your business, services, pricing, operating hours, appointment policies, and other customer-facing information.

Subscription Fees: Pricing for VaaniMitra and other VaaniNova products may be offered through monthly, annual, usage-based, or other plans as specified at the time of purchase.

Taxes & GST: Applicable taxes, including GST where applicable, may be charged in accordance with Indian tax laws. Tax invoices will be issued as required under applicable law.

Renewals: Where a subscription automatically renews, the applicable renewal terms and charges will be disclosed at the time of subscription.

Cancellations: You may cancel your subscription in accordance with the cancellation terms applicable to your selected plan. Unless otherwise stated, cancellation will generally take effect at the end of the current prepaid billing period.

Refunds: Refund eligibility will be governed by the refund terms applicable to the relevant product or subscription plan.

VaaniNova IP: All rights, title, and interest in VaaniNova's proprietary software, platform, algorithms, user interfaces, documentation, designs, logos, trademarks, and other original materials are owned by or licensed to VaaniNova Technologies Private Limited, unless otherwise stated.

Client Data: You retain your rights and interests in the business information, customer information, content, and data you provide to or process through the services. You grant VaaniNova the limited rights necessary to host, process, transmit, and otherwise handle such information solely for providing and maintaining the services, subject to applicable law and our Privacy Policy.

VaaniNova services are provided on an “as is” and “as available” basis to the maximum extent permitted by applicable law.

We do not guarantee that the services will always be uninterrupted, error-free, or available at all times. Service availability may be affected by telecommunications networks, Internet connectivity, third-party infrastructure, cloud services, AI service providers, integrations, maintenance, or circumstances beyond our reasonable control.

AI-generated responses and automated actions may occasionally be inaccurate, incomplete, delayed, or unsuccessful. Customers are responsible for reviewing and configuring their business workflows appropriately.

To the maximum extent permitted by applicable law, VaaniNova Technologies Private Limited will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the services, including loss of profits, business opportunities, data, or revenue.

These Terms shall be governed by and interpreted in accordance with the laws of India.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the services, the parties shall first attempt to resolve the matter amicably through good-faith discussions.

If the dispute cannot be resolved amicably, it shall be subject to the jurisdiction of the competent courts at Patna, Bihar, India, subject to applicable law.
